Make Merchant - Terms and Conditions

Welcome to Make Merchant. These Terms and Conditions ("Agreement") govern your use of our services and website. By accessing or using Make Merchant services, you irrevocably agree to be bound by this Agreement, which is strictly designed to protect the interests of Make Merchant.

1. Definitions
  • "Make Merchant" refers to the company providing import/export documentation and business registration services, custom clearance and logistics support.
  • "User" refers to any individual or entity using Make Merchant services.
  • "Service" refers to all features, tools, content, and support offered by Make Merchant.
Eligibility and Compliance
By using Make Merchant services, you affirm that you are at least 18 years old, legally competent, and agree to strictly adhere to these Terms. Make Merchant reserves the sole discretion to refuse or terminate service to any party at any time without liability.

Use of Service and Conduct
Make Merchant grants a limited, non-transferable, revocable license to use the service, conditional upon full compliance with these Terms. Prohibited conduct includes but is not limited to:
  • Use of offensive, abusive, racist, hateful, or illegal language or content.
  • Infringement of any intellectual property or proprietary rights.
  • Disruption, interference, or misuse of the service, including unsolicited advertising or spam.
  • Any fraudulent, deceptive, or harmful activity.
Make Merchant reserves absolute right to suspend, restrict, or terminate access and pursue legal remedies in case of breach.

In the event that any client or their authorized representative engages in abusive, threatening, or offensive communication towards Make Merchant personnel, whether via email, WhatsApp, phone call, or any other mode of communication, and such misconduct is substantiated by verifiable evidence, Make Merchant reserves the sole right to immediately cease any further services or case handling related to that client.

Further, under such circumstances, Make Merchant shall not be obligated to entertain any claims, grievances, or disputes raised by the said client. The client shall also forfeit any advance payments made, and no refund of such advance shall be processed.

This clause is in accordance with Indian Contract Law principles, including the right of a service provider to protect its dignity and business interests, and is without prejudice to any other legal remedies available to Make Merchant.

Intellectual Property and Content Rights
  • Make Merchant exclusively owns all content and intellectual property provided via the service.
  • Users shall not copy, reproduce, modify, distribute, or publicly display any content without prior written consent.
  • By submitting any materials or content to Make Merchant, users irrevocably assign Make Merchant a perpetual, royalty-free, exclusive license to use, modify, publish, and distribute such content in any medium.
Confidentiality and Data Security
While Make Merchant takes reasonable measures to protect user information, the user acknowledges inherent risks with digital communication and agrees that Make Merchant is not liable for unauthorized access or data breaches.

Warranty Disclaimer and Limitation of Liability
  • Make Merchant services are provided "as is" with no warranties, expressed or implied.
  • Make Merchant disclaims all responsibility for any errors, interruptions, or damages arising from service use.
  • Users assume full risk and agree that Make Merchant shall not be liable for any indirect, incidental, consequential, or special damages.
Indemnification by User
Users shall indemnify, defend, and hold harmless Make Merchant and its affiliates, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including attorneys’ fees) caused by user conduct or breach of these Terms.

Consultant Onboarding and Verification
Any consultant or third-party wishing to engage or work with Make Merchant must provide complete and valid KYC documents as well as business registration credentials PRIOR TO any engagement. Make Merchant reserves the unilateral right to reject any consultant without cause or notice. No work or association shall be permitted without full compliance with this verification requirement.

Modification and Termination
Make Merchant may modify or update these Terms at any time at its sole discretion. Continued use after modifications constitutes acceptance. Make Merchant reserves the right to suspend, restrict, or terminate service to any user at any time without liability or notice.

User Account Responsibility
Where applicable, users are responsible for safeguarding account access credentials and immediate reporting of unauthorized use. Make Merchant may terminate or suspend accounts for breaches or suspicious activity.

Governing Law and Jurisdiction
This Agreement is governed by the laws of India. Exclusive jurisdiction and venue for disputes shall be the courts located in Delhi. Users waive any objection to such jurisdiction.
